Lingvajet is happy to introduce a new course as part of its continuous personal development courses. The course is intended for translators with English-Russian language combination, but the lecture given by a professional lewyer can be attanded by all English-speaking translators. The course is called "Basic Knowledge of Corporate Structure and Corporate Documents and Translation of Corporate Documents from English into Russian"

It will be conducted in our lovely offices in Chswick Park from 14 tp 18 January and from 4 to 8 March.

This course is intended to consolidate the previous experience of the legal translators into a systematic approach to their subject area. An important part of the course is the subject area knowledge being imparted by an expert in the field, an English speaker, in broad layperson terms. In a concise form you will be read a course in Corporate Law (companies, registration, directors’ duties and interests, shareholders and meetings, shares and different classes of shares. You will acquaint yourselves with the corporate documents (Memorandum and Articles of Association, board minutes, agreements including sales and purchase, acquisition, POA and other relevant documents). Then you will learn to apply your newly obtained knowledge to practice whilst translating corporate documents under the supervision of an experienced translator having education in English Law and over 20 years of experience in the legal field.

COURSE PROGRAMME

DAY ONE

 

8.45 – 9.00                  Coffee and introductions

9.00 – 10.30                “Corporate Structure”– a lecture by a solicitor specialising in Corporate Law and Acquisitions, lecturer at the College of Law, London. Part 1

1. Companies (private and public) compared to partnerships, LLPs and limited partnerships.

2. Registration of companies. Procedure and documents. "Off the shelf" companies.

3. Directors/the Board/Role/Duties/Powers. Appointment and removal. Quorum. Declarations of interest. Executive and non-executive directors.

10.30 – 10.50              Coffee break

10.50 -  12.20              “Corporate Structure” - Part 2

4. Shareholders. General Meetings. Ordinary and Special Resolutions.

5. Shares. Different classes. Transfer/issue of shares. Dividends.

6. Company insolvency. Liquidation and liquidators. Alternatives to liquidation.

12.20 – 13.30              Lunch break

13.30 – 15.00              Terminology fundamentals as ‘understood’ by the experts.

15.00 – 15.15              Coffee break

15.15 – 16.30              Translation of Board Minutes (independent work).

1. The "Constitution". Memorandum and Articles of Association.

 Table A/Model Articles.

2. Board Minutes, quorum, declarations of interest.

3. Shareholders. General Meeting resolutions. Proxies. Written Resolutions.

4. Joint Venture/Shareholder Agreements.50/50.Majority/minority shareholders.

5. Acquisition Agreements (shares and assets): Heads of Agreement/Letter of Intent; Information Request; Sale and Purchase Agreement; Disclosure Letter; Completion Board Minutes; Completion Agenda.

6. Powers of Attorney. 7. Service Agreements.

13.30 – 15.00              “Corporate Structure” – Practical work

Review and discussion of your translations with an experienced legal translator.

10.50 -  12.20             Discussion of translations of the Memorandum and Articles of Association and other corporate documents.

13.30 – 15.00              Terminology fundamentals as ‘understood’ by the experts.

15.15 – 16.30              Translation of a POA, translation of an agreement (independent work).

 

DAY FOUR

10.50 -  12.20             Discussion of translations of POA and S& PA and other documents.

13.30 – 15.00              Terminology fundamentals as ‘understood’ by the experts.

15.00 – 15.15              Coffee break

15.15 – 16.30              Translation of a Loan Agreement (independent work).

 

DAY FIVE

9.00 – 10.30                 Translation of a Shareholders Agreement (independent work).

10.50 -  12.20             Discussion of translations of a Loan Agreement and a Shareholders Agreement.

13.30 – 15.00              Course Effectiveness Check: practical test.

15.00 – 15.15              Coffee break

15.15 – 16.30              Plenary session: Conclusion.
